在《商法通则》中设立商法基本原则的路径研究

摘　　要：《民法典》的颁布使得学界对于《商法通则》制定的呼声比以往更高。究其原因,《民法典》中对于商事行为的规范并未达到各界的预期。民法与商法并非包容关系,二者存在着理念、价值以及原则性差异。商法基本原则作为商事理念与价值的表达,能够指引商事立法、为商事活动或商事纠纷提供裁判依据,必要时可以起到弥补法律适用不足的作用。从法律体系的完整性、法律适用的必要性以及经济效益的最大化角度分析,在《商法通则》中制定商法基本原则是最佳选择。在商法基本原则的具体设置上,宜采取四原则说,即营业自由原则、交易便捷原则、交易安全原则以及社会责任原则。The Promulgation of Civil Code has led to academics’burgeoning endorsement for the formulation of the General Principles of Commercial Law.It is argued that the norms of commercial conduct in the Civil Code failed to meet the expectations of all walks of life.Civil law and commercial law are not of inclusive relationships.They differ in philosophy,value and principle.As the embodiment of business philosophy and value,the basic principles of commercial law can guide commercial legislation,provide a basis for judgments on commercial activities or commercial disputes,and play a role in making up for the lack of application of the law if necessary.From the perspective of the integrity of the legal system,the necessity of applying the law,and the maximization of economic benefits,formulating the basic principles of commercial law in the General Principles of Commercial Law is the best choice.In setting the basic principles of commercial law,four principles are proposed,namely the principle of freedom of business,the principle of convenient transactions,the principle of transaction security and the principle of social responsibility.
