论公用事业特许经营中的临时接管适用条件——以国家担保责任理论为视角  

On the Applicable Conditions of Temporary Taking-over System in Public Utilities Franchising: From the Perspective of National Guarantee Responsibility Theory

摘　　要：临时接管在公用事业特许经营中发挥着应急保障作用,其适用条件既涉及政府行使接管权力的界限,也与特许经营协议履行的可持续性和特许经营权利的保障密切相关。临时接管适用条件的完善应考虑三个要件:结果要件为特许经营中危及公共利益应达到"严重"程度且一般性行政措施难以奏效;程序要件为特许经营协议约定优先;范围要件方面,政策法律变动类因素应排除在适用情形之外,对特许经营者违约适用临时接管应持审慎态度。The temporary taking-over system plays an emergency role in public utility franchising. Its applicable conditions is relevant to public regulators’ power boundary, the sustainability of the administrative agreements and the protection of franchise rights. The applicable conditions for temporary taking-over system include three elements: result, procedure and scope. The result element is that the public interest has been or will be seriously threatened, and other administrative measures cannot be effective. The procedure element is that the administrative agreement has priority in dispute resolution. For the scope element, changes in policies and laws should be excluded from the applicable conditions, and a cautious attitude should be taken in applying temporary taking-over for breach of contract.
