摘 要:农村集体经济组织的内部决议被否定后,依据该决议与相对人形成的民事法律关系是否受影响以及受怎样的影响,学界目前尚未有定论。《民法典》第85条、第94条确立的善意相对人保护规则,为农村集体经济组织决议外部效力规则的构造提供了指引。在解释论视角下,应根据农村集体经济组织外部行为的性质确定类推适用的依据,对于善意相对人保护规则的适用疑义,可通过文义解释、体系解释等方法予以澄清。农村集体经济组织决议外部效力规则的完善,应跳出“相对无效说”的藩篱,借鉴无权代理制度赋予农村集体经济组织追认的权利,并通过利益衡量的方法,最大限度地调整及调和各主体之间的利益冲突,从而实现法律关系的稳定与个案处理的公正。After the internal resolution of the rural collective economic organization(RCEO)is denied,whether and how the civil legal relationship formed with the counterpart according to the resolution will be affected is still inconclusive in academic circles.The rules of protection for the bona fide counterpart established by Article 85 and Article 94 of the Civil Code provide guidelines for the construction of rules regarding external validity of RCEO's resolutions.Under the interpretive perspective,the foundation of analogical application should be determined depending on the nature of the external act of RCEO,and doubts about the application of the bona fide counterpart protection rule should be clarified by means of textual interpretation and systemic interpretation.The improvement of the rules of external validity of RCEO's resolution should break out of the“relative ineffectiveness”barrier,drawing on the powerless agency system to give RCEOs the right of retroactive recognition.Through a benefit measurement approach,efforts should be made to adjust and reconcile the conflict of interests between internal and external subjects,and to achieve the stability of legal relation and justice in individual cases.
