摘　　要：矿业是南非经济的支柱产业,也是中国在南非投资的重要领域,南非矿业本土化立法对中国投资者影响重大。本文从南非矿业本土化立法的结构和进展入手,分析矿业宪章中关于BEE持股比例的相关规定对各类矿权的影响,并且给出相关投资风险的应对策略,如谨慎选择BEE合作伙伴、合理分割矿山资产、冶炼资产和合理设计BEE股权结构等。Mining is a pillar industry in South Africa and attracts considerable Chinese investments,so local content legislation in South African mining industry has significant impacts on Chinese investments.This article starts with the legislative structure and development of local content requirements in South African mining industry,analyzes the impacts on mining rights,and provides investment risk reducing strategies,such as selecting HDSAs partners prudently,dividing mining assets from smelting assets,comprehensively designing HDSAs shareholding structure,etc.
