契约实施机制与契约再协商——以近代四川自贡盐业契约为例

摘　　要：契约的实施机制能够有效保障交易双方的契约得到稳定和准确的履行,是实现契约交易的关键,其中不完全契约的实施机制尤其重要。对四川盐业历史资料的整理发现,即使交易双方遇到的情况契约实施机制无法解决,双方并不是马上选择违约惩罚或是对簿公堂进行法律裁决,而是在一定范围内选择契约再协商,通过契约的调整或是修改契约部分内容来实现契约的继续实施。研究清代四川自贡的盐业企业家如何保障契约稳定实施与履约,对于当今企业融资、企业之间合同的签订和履约都有着重要的现实意义。Contracts are divided into complete contracts and incomplete contracts, which correspond to the relevant contract implementation mechanism. Sichuan Zigong salt industry contract through the operation of the implementation mechanism, the contract of both parties can be stable and accurate performance. Therefore, the research on the implementation mechanism is the key to the realization of contract transaction between the two parties, especially the implementation mechanism of incomplete contract. Through the historical data of Sichuan province, found that even with both parties is already contract enforcement mechanism cannot be solved, the two sides did not choose default penalty or to court for legal ruling, but within a certain range to choose contract negotiation again, through the adjustment of the contract or modify we will continue to implement the contract part to implement the contract.
