摘 要:在我国公司法律制度演进中,最高人民法院发布的《关于适用〈中华人民共和国公司法〉若干问题的规定(五)》等法律规范肯定了董事职务无因解除制度,但相关的实体与程序规定不明,对董事、公司和中小投资者的合法权益保护不足。从法教义学和比较法的视角来看,英美法系和大陆法系国家的公司法律制度虽然普遍确立了董事职务无因解除制度,但也通过程序正义规范股东权利的行使以保护董事、中小股东和公司的合法权益。基于中小投资者和公司董事权益保护的现代公司治理理念,有必要通过立法明确解除董事职务的正当理由,规范解任董事的程序,同时确立与无因解除制度并行的司法解除制度,保护董事、公司和中小股东的合法权益,提升公司治理水平。In the evolution of China's corporate legal system,the regulations on the application of the company law of the People's Republic of China and other legal norms issued by the Supreme People's Court affirm the system of dismissal of director without cause,but the relevant entities and procedures are unclear and the protection of the legitimate rights of directors,companies and small and medium-sized investors is inadequate.From the perspective of legal dogmatic and comparative law,though the system of dismissal of director without cause has been established in common law and civil law countries,the exercise of shareholders'rights is regulated by procedural justice to protect the legitimate rights and interests of directors,minority shareholders and companies.Based on the modern corporate governance concept of protecting the rights and interests of directors and small and medium-sized investors,it is necessary to clarify the legitimate reasons for the removal of directors by legislation,standardize the procedure of removing directors from office,and establish the parallel judicial removal system with the system of removal without cause,so as to protect the legitimate rights of directors,companies and small and medium-sized shareholders,and improve the level of corporate governance.
