试析新兴领域企业的违法经营行为

摘　　要：随着科学技术的不断突破、商业模式的持续创新、市场的动态变化、法律法规的更新和进步,新兴领域企业在经营管理中不可避免地面临如何合规经营与合法经营的现实问题。新兴领域企业在运营中可能涉及管理层收购或离婚继承案中侵害特定关联人权益等8种违法经营行为。分析其行为可以发现,其行为既有主观故意,也有主观过失,也存在发生时尚无法律明确禁止的经营行为。新兴领域企业非法经营一般会涉及民事法律关系、刑事法律关系、行政法律关系,各个法律关系都有不同的原则,也会有不同的法律判定依据。对新兴领域企业的违法经营进行有效治理应包括加强企业自觉内控、行业自律和协调、主管部门监管和指导、加快立法建设等措施。With the continuous breakthrough of science and technology,the innovation of business model,the dynamic market changing,and the renewal of laws and regulations,the enterprises in the emerging fields inevitably face the problems of how legally operate in the complicated context.The author analyzed the classification,motivation and typical cases and finally found an overall framework scheme for effective governance of the legal operation of enterprises in the emerging fields,mainly including strengthening the conscious internal control of enterprises,industry self-discipline and coordination,supervision and guidance of competent departments,and accelerating the construction of legislation.
