摘　　要：我国新《证券法》对自愿信息披露制度进行了规范,但自愿信息披露虚假陈述的责任制度仍不够完备。在自愿信息披露虚假陈述的责任体系中应突出民事责任,一方面,在法律法规中对责任各构成要件进行细化规定,明确包括中介机构、董监高等各主体的责任边界,在责任构成要件上,设定更具可操作性的因果关系认定标准;另一方面,将基于合理预测并作出警示说明的信息作为自愿信息披露的免责事由,避免投资者滥诉,以达到保护投资者和鼓励自愿信息披露二者之间的平衡。China’s new Securities Law has standardized the voluntary information disclosure system,but the liability of mispresentation of voluntary information disclosure is still incomplete.Civil liability should be highlighted in the liability system of mispresentation of voluntary information disclosure.On the one hand,each constitutive requirement should be detailed provisioned in the regulations.The responsibility boundaries of all subjects including intermediary institutions,directors and supervisors should be made clearer.In terms of the constitutive elements of liability,a more operable determination standard of causality should be set.On the other hand,the information based on reasonable forecasts and cautionary statements can be regarded as an exemption for voluntary information disclosure,so as to avoid investors’indiscriminate lawsuits,with the purpose to achieve a balance between protecting investors and encouraging voluntary information disclosure.
