论所有权保留制度与典型担保之衔接

摘　　要：所有权保留制度既具有特种买卖的属性,又具有非典型担保的功能,明确准用担保物权规则是将其融合进担保体系的关键。所有权保留中出卖人保留的所有权并未被完全功能化,而是集合了部分一般所有权权能和担保物权功能的“一体二用”的权利。所有权保留具有除从属性外的其他担保物权的特征。所有权保留的担保对象应限定为动产、有形财产。所有权保留可以准用统一担保登记制度、超级动产抵押制度以及正常经营买受人规则,不得准用抵押权追及主义。The retention of title not only has the attribute of special sale,but also has the function of typical security.It is the key to integrate it into the security system to clarify the rules of security interest.In the retention of title,the ownership retained by the seller is not fully functionalized,but a one-in-one and two-purpose right integrating some general ownership functions and security interests functions.Retention of title has the characteristics of other security interests except subordination.The guarantee object of ownership retention should be limited to movable property and tangible property.The security registration system,the rule of purchase money security interest and the rule of buyer in ordinary course can be applied to the retention of ownership,and the doctrine of mortgage recovery shall not be applied.
