基于合同适用维度的建设工程施工黑白合同规则研究

摘　　要：建设工程施工合同案件中的黑白合同纠纷是发生概率较高的纠纷类型,《民法典》的颁布未能妥善解决该法律问题。为了解决黑白合同问题,有必要制定建设工程施工黑白合同规则。对于该规则的研究,主要分为两个层面:在理论层面上,需要明确黑白合同的界定方式以及合同的订立与效力;在实践层面上,应总结最高人民法院相关典型案件的经验,结合司法观点明晰规则内容。以此为基础,全面、系统地阐释建设工程施工黑白合同规则,当满足适用要件时,可通过四个步骤判断“黑合同”与“白合同”,从而得出适用结论。Black and white contract disputes are the types of disputes with high probability of occurrence in construction contract cases.The promulgation of The Civil Code fails to properly solve this legal problem.In order to solve the problem of black and white contracts,it is necessary to put forward black and white contract rules for construction projects.The research on this rule can be divided into two aspects:at the theoretical level,the definition of black and white contracts as well as the conclusion and validity of the contract need to be clarified;at the practical level,the experience of relevant typical cases of the Supreme People′s Court is summarized,and the content of the rules is clarified based on judicial viewpoints.On this basis,the paper comprehensively and systematically explains the rules of black and white contracts in construction projects.When the applicable requirements are met,it judges the"black contract"and"white contract"in four steps,and draws the applicable conclusion accordingly.
