摘　　要：1904年清政府制定的《公司律》是我国历史上第一部公司法规,也是我国第一部近代意义上的法律本文以国人对公司法规认识的发展为线索进行分析论证,认为中国公司发展的内在需要以及涉外经济发展的需要是制定《公司律》的重要原因.The Companies Act,enacted in 1904 by Qing government,was both the first corporate act and the first modern act as well in Chinese history.This paper analyzes and demonstrates based on development of Chinese understanding of companies regulations.It is considered that the internal needs of the development of Chinese companies and the needs of foreign economic development are the important reasons for formulating Companies Act.
