摘　　要：大学内部治理的研究起点是一系列相关概念的辨考,而目前关于大学内部治理的研究中存在大学内部治理与大学内部管理混淆不清等问题。在理论和实践中,二者存在诸多不同。大学内部治理是大学内部利益相关者根据责权划分所形成的结构性制度安排,通过参与大学事务决策等过程而达到平衡的动态活动。而大学内部管理是通过组织、计划、协调、控制等手段和方式来实现大学发展目标。另外,大学内部治理的核心要义在于治理主体在“结构+过程”中完成治理,因而在治理主体、治理结构、治理过程等方面,大学内部治理也和其他类型组织有明显不同。The starting point for the research on university internal governance is the debate on a series of related concepts,and the current research on university internal governance has problems such as confusion between university internal governance and university internal management.In theory and practice,there are many differences between university internal governance and university internal management.The internal governance of the university is a structural institutional arrangement formed by the stakeholders within the university according to the division of responsibilities and powers,and it is a dynamic activity that achieves balance by participating in the process of university affairs decision-making.And the internal management of the university is to achieve the development goals of the university through means and methods such as organization,planning,coordination,and control.In addition,the core essence of university internal governance is that the governance subject completes governance in the“structure+process”.Therefore,the internal governance of the university is also significantly different from other types of organizations in terms of governance subject,governance structure,and governance process.
