摘 要:《民法典》第四百零六条改变了《物权法》第一百九十一条和《担保法》第四十七条之规范模式,确立了以“自由转让说”为立法基点的抵押财产转让规则,且对司法实务中饱受争议的各级法院抵押权追及效力进行了确认。但是,出于我国担保规范体系统一规范动产担保和不动产担保的特点,以及立法者对不具有占有权能的抵押权的保护倾向,本条为抵押财产自由转让进行了“另有约定”和“损害抵押权”两项限制。在司法实践中应正确理解上述两种限制的规范含义,在保护抵押权人合法权益不轻易受损的前提下,对抵押人的处分权进行最大程度的保护,坚持抵押财产自由转让的基本原则。Article 406 of Civil Code has changed the normative mode of Article 191 of Property law and Arti⁃cle 47 of Security law,established the transfer rules of mortgaged property based on the"theory of free transfer",and confirmed the controversial mortgage recovery effect of courts at all levels in judicial practice.However,due to the characteristics of China's security regulation system to uniformly regulate chattel security and real estate security,as well as the legislator's tendency to protect the mortgage without possession,this article imposes two restrictions on the free transfer of mortgaged property:"otherwise agreed"and"damaging the mortgage".In judicial practice,we should correctly understand the normative meaning of the above two restrictions,protect the right of disposition of the mortgagor to the greatest extent,and adhere to the basic principle of free transfer of mortgaged property on the premise of protecting the legitimate rights and interests of the mortgagee.
