电子商务平台经营者管理权的法理基础与规范进路——基于线上平台与线下市场的对比分析

摘　　要：《电子商务法》规定了平台经营者对平台内经营者违法违规行为的管理权,但该权力的法理基础存疑、规范进路不明。平台经营者作为网络交易公共场所的出租人、“所有权人”兼技术管控者,在承担国家要求的空间管理权责的同时,凭借市场力量聚合了承租商户的自治授权,基于“空间所有”和“组织授权”双重法理生成管理权。平台经营者管理权属于网络商铺出租人管理权,该管理权在线下商品交易市场租赁关系中既已存在且运行良好。尽管平台经营者与线下市场开办者管理权行使方式类似,但平台行权限度、处置顺序、威慑效力都空前强化,可借鉴国家对商品交易市场的监管经验,加强平台规则审查及执行情况年报,合理限制合同解除权的行使,实施常态化监管,保障平台经营者管理权规范运行。The e-commerce law stipulates the power of platform operators to manage the illegal acts of merchants,but the legal basis and regulation rules of this power is unclear.As the lessor,“owner”and technical controller of online trading public places,the platform operator not only undertakes the space management rights and responsibilities required by the state,but also aggregates the autonomous authorization of the tenants by virtue of market power,acquiring management power based on dual legal principles of“space ownership”and“organizational authorization”.The management power of the platform operator is part of the online shop lessor s management power,which already existed and operates well in the leasehold relation of the offline commodity trading market.Although platform operators and offline market operators exercise their management power in a similar way,the authority limits,disposal order and deterrent effects of the platform have been unprecedentedly strengthened.We can learn from the experience of state supervision on commodity trading market,enhance the review of platform rules and the annual report of implementation,reasonably limit the exercise of contract cancellation right,implement regular supervision,and ensure the standardized operation of platform operators’management power.
