摘 要:如何使离职的公司员工在合伙制股权激励持股平台中退伙,在司法实务界存在较大争议。作为特殊目的载体的有限合伙企业下合伙人之间的人合性较低,强制退伙不会冲击合伙企业的契约性和组织性。公司员工的离职原因不应影响是否退伙的判断,事关员工权益的争议应在劳动程序下解决。在强制退伙的具体实现路径上,经重新审视裁判观点,因人合性式微而名存实亡的除名退伙制度并无用武之地。对股权激励下的合伙协议的目的进行扩张解释后,得出有限合伙人必须具备目标公司的员工资格,因此应适用当然退伙制度实现强制退伙。It is controversial in judicial practice to withdraw the dismissed employees from partnership shareholding platforms under equity incentive plan.The relationship between partners is lack of human joining in limited partnership,which is a Special Purpose Vehicle.Compulsory withdrawal from partnership would not be contradicted with the contractual and organizational nature of the partnership.The reason for dismission shall not affect the judgement of whether to withdraw from the partnership.Disputes concerning the rights and interests of employees shall be settled under labor procedures.After reviewing different decisional view,there is no room to remove the partners by resolution because of the lack of human joining.By expanding interpretation of the purpose of the partnership agreement under equity incentive plan,it is concluded that the limited partners must have the employee qualifications of the target companies.Therefore,the system of voluntary withdrawal should be applied to realize compulsory withdrawal.
