破产重整程序中的债务人自行管理制度研究

摘　　要：债务人自行管理制度最早可以追溯至美国破产法中的DIP制度,具有提高效率、节约成本、兼顾公平以及推动破产行为市场化的优点。我国2006年颁布的《破产法》在引入企业破产重整制度外,也引入了债务人自行管理制度。但在我国的实践之中对于该制度的启动机制、债务人在自行管理过程中法律地位并不明确,对于债务人自行管理的监督机制并不完善,此外与该制度相衔接的预重整制度也长期处于缺位状态,极大地阻碍了该制度的落实。更为清晰地划分在债务人自行管理模式之下债务人的职权边界,完善人民法院、债权人、管理人多方共同监督的监督机制十分重要。与此同时,对预重整机制予以引入,多管齐下,避免债务人自行管理制度之中可能导致的道德风险,使得破产重整中的债务人自行管理模式真正成为一种选择而不是在多数情况下停留在法律文本之中,从而发挥其价值。The debtor’s self-management system can be traced back to the DIP system in the US bankruptcy law.It has the advantages of improving efficiency,saving costs,taking into account fairness and promoting the marketization of bankruptcy behavior.my country’s Bankruptcy Law promulgated in 2006 not only introduced the enterprise bankruptcy reorganization system,but also introduced the debtor’s self-management system.However,in the practice of our country,the starting mechanism of the system and the legal status of the debtor in the process of self-management are not clear,and the supervision mechanism for the self-management of the debtor is not perfect.In the absence of a state,it has greatly hindered the implementation of the system.It is very important to more clearly define the boundaries of the debtor’s authority under the debtor’s self-management model,and to improve the supervision mechanism of the people’s court,creditors and administrators.At the same time,the pre-reorganization mechanism is introduced,and a multi-pronged approach is adopted to avoid the moral hazard that may be caused by the debtor’s self-management system,making the debtor’s self-management model in bankruptcy reorganization truly an option rather than in most cases.It stays in the legal text,so as to give full play to its value.
