企业预重整程序效力问题研究

摘　　要：我国企业预重整在实践过程中逐步呈现启动节点多样性、效力扩张性等特点。预重整程序效力从实践层面上来看具有参照正式破产程序规则的倾向。然而,预重整并非我国法定的破产程序,其本质上不具有解决破产分配与债务清理的功能,其不应被赋予集中管辖、诉讼中止、执行中止的效力。宜将企业预重整程序的启动时间点作为破产临界期的追溯时间点,赋予预重整程序的启动具有破产撤销权时间起算点的效力。In practice, the pre-reorganization of Chinese enterprises gradually presents the characteristics of diversity in starting time, difference in starting reasons, and tendency of effectiveness expansion, etc. From the practical level, pre-reorganization procedure tends to turn to rules of formal bankruptcy procedures for reference. However, pre-reorganization is not a legal bankruptcy procedure in China, and in essence it does not have the function of bankruptcy distribution and debt settlement. Therefore, it should not be given the effect of centralized jurisdiction, suspension of litigation and suspension of execution. Using the starting time of enterprise pre-reorganization procedure as the retroactive time point for the bankruptcy critical period will give the starting of pre-reorganization procedure the effect as the starting point of bankruptcy revocation right.
