任意撤回权与合同拘束力的冲突与协调

摘　　要：由于涉及调整对象上的同一性,《个人信息保护法》第15条所确立的对同意的任意撤回权制度在体系解释视角下将涉及对利用个人信息的合同关系的重新调整,进而与《民法典》中既有的合同制度相冲突。若优先适用前者,则合同拘束力将被瓦解;若优先适用后者,则个人信息保护的目的将在很大程度上落空。在个人信息领域,任意撤回权的当然优先适用并不具有法理上的正当性。在存在合同的情境下,若涉及单方法律行为意义上的同意,则任意撤回权可以优先适用;若涉及双方法律行为意义上的同意,同意系合同拘束力的直接作用对象,为防止隐私权受侵害的高度抽象危险的实现,在存在运用自动化数据处理技术或数据库存储技术的情况下,任意撤回权仍应优先适用,否则应尊重合同拘束力的优先效力。Due to the same regulating object involved, the system of right of withdrawal of consent established by Article 15 of the Personal Information Protection concerns the readjustment of contractual relationship of utilizing personal information from the perspective of systematic interpretation, thus leading to a conflict with existing contract system in Civil Law. Law governs the right of withdrawal. If the former prevails, the contractual bindingness will be eroded, and if the latter prevails, the purpose of the protection of personal information will be defeated to a large extent. In the field of personal information, the necessary prevailing of the right of withdrawal does not enjoy legitimacy in legal theory. In the context of there being a contract, if a consent in the sense of unilateral legal act involved, the right of withdrawal may prevail, and if a consent in the sense of bilateral legal act involved, such consent is the direct object bound by the contract, and in order to avoid the realization of the highdegree abstract danger that the privacy will be infringed upon, under the situation of using automated data processing technology or database storage technology, the right of withdrawal shall still prevail, otherwise the prevailing effect of the contractual bindingness shall be respected.
