论专利开放许可制度的理解与完善

摘　　要：专利开放许可制度在2021年6月1日实施的《中华人民共和国专利法》中作出了规定,同时,《专利法实施细则》也在进行修改,在过渡期内,国家知识产权局发布了《专利开放许可声明受理业务办事指南》。在目前尚没有相关实务予以支撑的情况下,应认真梳理相关规定,以期进行正确有效的理解与适用。对专利开放许可声明的书面形式应理解为包括数据电文等电子形式;内容上除了法定的内容之外,还应允许有约定的内容;对声明的审查应为形式审查,公告应为专利开放许可合同生效的前置程序;对期限、报酬应予以明确,并允许调整与修改;专利权人应负有保证义务。The patent open licensing system is stipulated in the Patent Law of the People’s Republic of China,which was implemented on June 1,2021,while the Implementing Rules of the Patent Law are being revised,and during the transition period,the State Intellectual Property Office has issued the“Guide to the Acceptance of Patent Open Licensing Statement Business”.In the absence of relevant practice to support it at present,the relevant provisions should be carefully sorted out with a view to a correct and effective understanding and application.First of all,the written form of patent open license statement should be expected to include electronic data and other forms considered as written;the agreed content should be permitted in addition to the statutory content;the review of the statement should be formal,and the announcement should be the pre-procedure for the patent open license contract to take effect;the term and remuneration should be clarified,and adjustment and modification should be allowed;the patentee should have the obligation to guarantee.
