摘 要:营利性民办学校决策机构有理事会、董事会等多种形式,在学校经营管理领域享有完全决策权。对外而言,《中华人民共和国公司法》与《中华人民共同国民办教育民促法》的权益保障优先级不同,公司权力机关和学校决策机构的差异集中体现在职权内容、人员组成及议事机制方面。对内而言,学校决策机构与举办者的权力来源不同,法律适用同样存在差异。基于此,营利性民办学校应当厘清决策机构职权定位,优化学校监督和退出机制,突出教育公益属性,实现决策机构规范、透明和民主,提升人才培养质量,为实现国家教育事业有序发展贡献力量。For-profit private schools have the executive council, the board of directors or other forms of deci⁃ sion-making bodies, and enjoy the full decision-making right in school operation and management. Externally, the priorities of rights and interests protection in the Company Law and the Law on the Promotion of Private Education are different, and the differences between the company authority and the school decision-making body focus on the content of authority, personnel composition and discussion mechanism. Internally, the power sources of school deci⁃ sion-making bodies and organizers are different, and the application of laws is also different. Based on this, for-profit private schools need to clarify the authority of decision-making bodies, optimize the school supervision & exit mechanism, highlight the public welfare attribute of education, realize the standardization, transparency and democracy of decision-making bodies, improve the quality of talents fostering, so as to contribute to the orderly development of national education.
