论融资租赁承租人擅自转租时出租人法定解除权——以《民法典》第753条为中心

摘  要:《民法典》第753条出租人法定解除权之规定是否包含承租人擅自转租情形,当前尚未明确。“删除”转租是遵循处分行为与负担行为二分法及维护合同稳定性的体现。而对区别于一般民事租赁的融资租赁而言,出于当事人权益风险平衡及融资租赁业持续健康发展等考量,承租人擅自转租租赁物时,在设置合理限制条件的基础上,出租人宜被赋予合同解除的法定权利。It is not yet clear whether the provision of lessor’s legal rescission right in Article 753 of the Civil Code should include lessee’s unauthorized sublease. The “deletion” of sublease is a manifestation of the adherence of the distinction between Act of Liability and Act of Disposition as well as the maintenance of contract stability. As for financial leases, which are different from general civil leases, for the sake of balancing the rights and risks of the parties and the sustainable and healthy development of the financial leasing industry, it is appropriate for the lessor to be given the legal right to terminate the contract on the basis of reasonable restrictions when the lessee subleases the leased property without authorization.
