我国经营者集中分类分级审查制度的构建——以新《反垄断法》第37条为分析对象

摘　　要：新修订的《中华人民共和国反垄断法》第37条规定了经营者集中分类分级审查制度,这项制度有助于提高审查质量、增进审查效率。当下,我国经营者集中分类分级审查制度的构建存在法律规范粗疏和机构人员配置不健全的双重障碍。未来应当致力于如下改进:首先应当明晰分类分级审查的具体法律标准,明确建立以公共事业、金融服务、数字经济、文化传媒、国有控股为重要门类的审查体系,形成以地方简易程序审查、中央处级简易程序审查、中央处级一般程序审查、中央司级重大程序审查为基本结构的审查层级;其次应深入推进反垄断执法机构改革,一是要对地方反垄断执法机构予以规范化设置,二是要进一步改进和完善反垄断执法二司的机构设置、职权分配和人员配置,三是要配套制定面向各细分领域的反垄断适用指南、市场研究报告、竞争政策报告和执法谅解备忘录。Article 37 of the new Anti-Monopoly Law stipulates the classification and gradation for review system of operator concentrations. The classification for review focuses on promoting the refined development of the antitrust system so as to improve the review quality, and the gradation for review focuses on the optimization allocation of enforcement resources so as to improve the review efficiency. The construction of the classification and gradation for review system of operator concentrations in my country has double obstacles to the foundation of legal specifications and weak institutions. In the future, it should be committed to the following improvements: on the one hand, the specific legal standards should be clarified with the classification system of public utilities, financial services, digital economy, cultural media, and state-owned holding enterprises, and the gradation system of provincial level, department level and bureau level. On the other hand, the supporting reforms of the antitrust law enforcement agency should be further promoted. One is to standardize local antitrust law enforcement agencies, and the other is to further expand the departments of the National Anti-Monopoly Bureau, and the third is to optimize the formulation of anti-monopoly guidelines, market research reports, and competitive policies for various segments.
