摘  要:《民法典》对登记的融资租赁合同赋予担保物权效力,冲击了物权法律体系,对《企业破产法》实施也带来了挑战。出租人破产时,管理人有权行使合同选择权;承租人破产时,管理人的合同选择权优先于出租人基于《民法典》第752条的解除权。破产程序中,融资租赁合同出租人继续履行的新生租金获得共益债务和租赁物的双重保障;在承租人的重整程序中,出租人对租赁物行使别除权和取回权还应遵守重整制度的特殊规定。According to the Civil Code of the People’s Republic of China,a registered financial leasing contract is provided with a security function,which has challenged the legal system of property rights and the enforcement of the Enterprise Bankruptcy Law of the People’s Republic of China.The administrator of a lessor who goes bankrupt has a right of option in treating executory contracts;the administrator of a lessee who goes bankrupt has a right of option that only takes precedence over the lessor’s right to rescind as stipulated in Article 752 of the Civil Code of the People’s Republic of China.In a bankruptcy proceeding,the new rent based on the lessor’s continued performance under the financial leasing contract is guaranteed by both the common benefits debt and the leased property;in a reorganization proceeding,the lessor shall also abide by the special provisions of the reorganization regime when exercising the exemption right and recall right to the leased property.
