论《民法典》绿色原则的合同适用及其制度启示

摘　　要：绿色条款已全面融入我国民法的基本原则和各编规则中,特别是在《民法典》合同编中系首次规定。在合同领域的司法实践中,已形成了适用绿色原则来判定合同效力、解除权行使、效力终止后利益返还的实践做法。折射出在民法基本原则体系中,具有独立于禁止违法与背俗原则的制度地位,也在合同解除、履行利益返还问题中,要求重新认知绿色条款的合同法本质。因此,将绿色原则和合同立法中的具体绿色条款,回归到合同债权债务的民法逻辑下,还原到民事立法作为裁判规则的纠纷化解场景中,绿色条款在本质上是对合同双方节约资源、保护环境法定附随义务的规定,基于该义务的履行情况而在双方间比较,生成相应的绿色请求权,这构成适用《民法典》中绿色合同条款的认知基础。Green Articles which first appear on the Contract Code,have been integrated into the fundamental principles and rules of each particular code.In practice,the Green Principle has been applied to judge the validity of contracts,to exercise the right of rescission and to repay after the termination of contracts.This reflects the potential institutional force of the Green Articles in the Civil Codes,wherein they are independent from the principle of prohibiting disobeying the legal order and going against the good customs,and it also makes it possible to rethink about the essence of green articles as contract codes in the process of contract rescission and interests repaying.Therefore,when we trace green principles and green articles in the contract legislation back to the civil codest logic about claims and debts,and then back to the needs of the civil codes to settle disputes,we may find that green articles essentially set affiliated responsibility of saving resources and protecting environment between the two contract parties.Furthermore,the articles generate green appeal rights after comparing the obligation implementation effects of the two parties,which may lay the cognitive foundation for applying the green contract articles of the Civil Code in the future.
