优化营商环境背景下法人登记公示制度的完善

摘　　要：《中华人民共和国民法典》第六十六条的法人登记公示制度作为企业登记制度的重要组成部分,对发挥企业登记制度的公示效力、保护对商事外观的信赖、保障交易安全和提升交易效率具有重要意义。依法及时公示法人登记信息既是一项行政职责又是一项公共服务。本文认为,针对市场中信息需求难以得到满足、信息不对称带来的信赖缺失问题,政府应以提供公共信息服务为职责,着眼于提供以信息服务为主要功能的公共服务,建设登记信息公示平台,营造安全可靠、公平竞争、良性运作的营商环境。As an indispensable part of enterprise registration system,the legal person registration and publicity system under Article 66 of the Civil Code is of great significance in giving full play to the publicity effect,maintaining trust in commercial transactions,safeguarding the security of transactions and enhancing transaction efficiency.The timely publication of the registration information of legal persons in accordance with the law is both an administrative responsibility and a public service.This paper argues that in the face of the difficulties in meeting the information demands and the lack of trust caused by information asymmetry,the government should shoulder the responsibility of providing information services,focus on providing public services with information services as its core,build an information publicity platform,and create a safe,reliable and benign business environment which embraces fair competition.
