On the Legal Status of the Independence of Supervisors in Chinese Companies:Problems and Reconstruction

摘　　要：According to corporate governance institutions in China,the supervisors’independence is weak and their practical performance is unsatisfying.The failure of supervisor’s supervision mechanism is mainly caused by the erosion of the independence guarantee mechanism of supervisors due to the following two factors.First,the shareholding structure of listed companies is highly centralized,resulting in the nomination,remuneration,and dismissal of supervisors controlled by major shareholders or actual controllers,leading to the collusion among supervisors,major shareholders,actual controllers,directors,or executives.Second,the lack of civil compensation liability of supervisors leads to the dereliction of duty.The way to guarantee the independence of supervisors is to reconstruct the legal status of the board of supervisors and supervisors.
