政府主导下的生物医药企业重组三方博弈

摘　　要：基于政府对于生物医药产业的企业重组政策支持背景,构建了中央政府主导、地方政府参与的以生物医药并购企业、生物医药被并购企业与地方政府为主体的三方演化博弈模型,并通过MATLAB演化仿真分析验证了所得结论。研究发现:该博弈模型共有6个演化均衡点,其中决策集(积极支持;积极争取重组;接受重组)为最佳博弈均衡决策;博弈模型中的相关因素如生物医药企业双方预期并购收益、前期协商成本、最终并购成交价的加权系数、地方政府的相关利益均会对该模型中博弈主体的决策演化速度产生一定的正相关或负相关影响,并在演化仿真过程中得以验证;地方政府在博弈过程中的相关利益只在很小程度上影响着地方政府的决策演化速度,而决定其决策选择的关键因素是由于消极支持而导致的政府形象下跌。Based on the background of government support for corporate restructuring in the biopharmaceutical industry,a three-party evolutionary game model led by the central government and with the participation of the local government was constructed with the biopharmaceutical M&A firms,the biopharmaceutical M&A firms and the local government as the main players,and the conclusions were verified through MATLAB evolutionary simulation analysis.It is found that the game model has six evolutionary equilibrium points,and the decision set{active support;actively strive for restructuring;accept restructuring}is the best game equilibrium decision;the relevant factors in the game model,such as the expected M&A revenue of both biopharmaceutical enterprises,the preliminary negotiation cost,the weighting coefficient of the final M&A transaction price,and the relevant interests of the local government,all have certain positive or negative effects on the evolutionary speed of the decision of each game subject in the model.The interests of local government in the game process only affect the speed of decision evolution to a small extent,and the key factor that determines its decision choice is the decline of government image due to negative support.
