摘 要:盛宣怀作为汉冶萍公司主要创办人,在早年经营官督商办企业的过程中,通过友朋幕僚逐渐接触西方董事会制度。随着阅历的丰富和知识的增长,盛宣怀对董事会制度的优越性有了更深的了解,并有意按照西方公司的治理机制打造汉冶萍公司董事会。在盛宣怀的推动下,汉冶萍公司实行了董事会制度,在董事会制度的早期实践过程中,公司决策中心呈现出由盛宣怀主导到董事会主导,又回归盛宣怀主导的变化特征。考察盛宣怀对董事会制度的接受和实践及其实践效果,可以窥视近代中国企业由传统到现代的艰难转轨。As the main founder of Hanyeping Company,Sheng Xuanhuai exposed to western board system through friends and staff in the early stage of the operation of the enterprise supervised by officials.With the enrichment of experience and knowledge,Sheng Xuanhuai has deeper understanding of the superiority of the board system that he intended to set up the board of directors of Hanyeping Company by referring to the governance mechanism of western companies.Promoted by Sheng Xuanhuai,the board system was implemented in Hanyeping Company.In the early practice of the board system,the leading of the company's decision-making center shifted from Sheng Xuanhuai to the board,and then returned to Sheng Xuanhuai again.By investigating Sheng Xuanhuai's acceptance and practice of the board system and its practical effect,we can see the difficult transition from traditional to modern Chinese enterprises.
