数字经济时代公司治理的变革与公司法应对

摘　　要：数字经济时代,公司在发展中出现了区别于传统治理的新特征,公司数字化转型遵从“数据赋能——技术驱动——治理变革”的逻辑,促使传统的代理成本和信息鸿沟矛盾出现了缓解的可能。在新业态和新模式不断涌现后,传统理论所依据的基础条件受到各种侵蚀,原理论已然不能周延诠释新的治理现象,数字技术等新要素介入公司治理结构,使得公司治理内部矛盾呈现方向变化,共享与协同成为今后公司治理的逻辑落脚点。面对变革,公司法在修订过程中有必要做出积极的回应,通过解释、调整或规范诸如网络投票、电子股东论坛和电子委托书征集等数字性创新行为,进而激发中小股东参与公司治理的热情,鼓励机构投资者参与公司治理,为构建与时俱进的公司治理新范式做出有益探索。In digital economy era,new characteristics that are different from traditional governance have emerged in corporate development.The digital transformation of companies follows the logic of"data empowerment--technology driven--governance revolution",which makes it possible to alleviate the contradiction between traditional agency costs and information gap.After new business forms and new patterns are created,the basic conditions of traditional theory are eroded in various ways,and the original theory is no longer capable of perfectly explaining new governance phenomena.The involvement of new elements such as digital technology in corporate governance structure changes the direction of the internal contradictions of corporate governance,which makes sharing and collaboration the logical foothold of corporate governance in the future.In the face of change,the company law in the revision process needs to make an active response by interpreting,adjusting,or regulating digital innovative behaviors such as Internet voting,shareholders BBS,and electronic proxy solicitation,which arouses the small and medium shareholders’enthusiasm to participate in corporate governance,encourages institutional investors to participate in corporate governance,and makes beneficial exploration for building a new corporate governance paradigm that keeps pace with the times.
