规范董事会改革对央企提升自主创新能力的探析

摘　　要：本文基于国资委2004年开始启动的规范董事会改革试点这一准自然实验,采用2010—2021年沪深A股央企控股上市公司的数据,分析规范董事会改革对央企自主创新能力的提升作用。研究结果表明:规范董事会改革显著提升了央企控股上市公司的专利申请倾向。其中相对于代表策略性创新的非发明专利而言,改革对高质量的发明专利申请数提升效果更显著;相对于国有控股比例较高的公司,改革对国有控股比例较低的上市公司发明专利申请倾向提升效果更显著。Based on the quasi-natural experiment of standardizing Board reform pilot initiated by Stateowned Assets Supervision and Administration Commission(SASAC)in 2004,this paper analyzes the role of standardizing board reform in improving the independent innovation ability of central soes by using the data of listed companies holding A-share central soes in Shanghai and Shenzhen from 2010 to 2021.The results show that the standardized board reform significantly improves the patent application tendency of listed companies held by central enterprises.Compared with non-invention patents representing strategic innovation,the reform has a more significant effect on the number of high quality invention patent applications.Compared with companies with a higher proportion of state holding,the reform has a more significant effect on improving the application tendency of invention patent in listed companies with a lower proportion of state holding.
