试论合同僵局的破解——基于民法典违约方合同解除权之分析

摘　　要：合同僵局将会导致交易效率低下、社会资源浪费、有违公平和诚实信用原则。就怎样破除合同僵局,我国《民法典》第580条第2款对违约方合同解除权作出了规定,既有利于平衡双方当事人权益,又促进了社会经济发展。但由于该条款未对合同僵局的概念、构成要件、适用条件等进行明确规定,在司法实践中造成一定的适用局限。从法律实践中产生合同僵局的具体情况入手,深入剖析合同僵局的涵义、法律特征、法理依据,并根据《民法典》的相关条款,提出违约方对合同解除权行使的法律要求、赔偿范围、程序方式等,以期为完善合同僵局破解的立法制度提供借鉴。Contract deadlock will lead to low transaction efficiency,waste of social resources,and violation of the principles of fairness and good faith.As for how to break it,the second clause of Article 580 of the Civil Code of China stipulates the breaching parties’right to terminate contracts,which is conducive to balancing the rights and interests of both parties and promoting social and economic development.However,due to the lack of clear provisions on the concept,constituent elements and applicable conditions of contract deadlock,this clause has caused certain difficulties in judicial practices.Starting from the specific situation of the contract deadlock in legal practices,this paper analyzes its connotation,legal characteristics and basis in depth,and puts forward the legal requirements,compensation scope and procedural methods for the breaching parties to exercise the right to rescind contracts according to the relevant provisions of the Civil Code,which is to provide some reference for improving the legislative system for breaking the contract deadlock.
