摘　　要：知识产权合规是企业适应社会对其合法合规经营要求的重要部分。做好知识产权合规可以帮助企业提高风险应对能力与核心竞争力,从而平稳进行创新业务拓展、产业升级。知识产权合规有着极为深厚的理论基础与多样化的内容和边界。知识产权合规以合规的一般学理为根源,并有着自身独特的学理。雇主替代责任、零部件侵权、知识产权二元归责论、企业高管知识产权侵权责任承担等决定了知识产权合规的独特内涵。知识产权合规的内容按照保护客体的不同可分为专利权、商标权、著作权、商业秘密与不正当竞争等,而知识产权合规的边界明确了企业承担责任的情形,为企业知识产权运营活动的有效开展划定了明晰的范围。Intellectual property compliance is an important part for enterprises to adapt to the requirements of society for their legal compliance operation.Intellectual property compliance can help enterprises improve risk coping ability and core competitiveness,so as to smoothly carry out innovation,business expansion and industrial upgrading.Intellectual property compliance has a very profound theoretical basis,diversified contents and boundaries.Intellectual property compliance is based on the general theory of compliance and has its own unique theory.The alternative liability of employers,component infringement,dual liability imputation system of intellectual property,and the intellectual property infringement liability of senior enterprise executives determine the unique connotation of intellectual property compliance.According to different objects of protection,the content of intellectual property compliance includes copyright,trademark right,patent right,trade secrets and unfair competition,etc.And the boundary of intellectual property compliance defines the situation that enterprises assume responsibility,which defines a clear scope for the effective development of enterprises′intellectual property operations.
