深化中小银行股权结构与公司治理改革

摘　　要：宜准确把握我国中小银行公司治理的特殊性,多模式探索优化内部治理,推动完善监管与市场约束等外部治理,构建组织边界、能力体系和社会治理自洽的行业形态,多措并举深化中小银行股权结构与公司治理改革。我国中小银行股东资质相对较差,股权结构较为分散,大股东和内部人控制问题较为突出,加上经营限于本区域,地方政府不当干预时有发生。Small and medium-sized banks in China meet with issues such as relatively poor shareholder qualifications.With business space squeezed by various competitors,balance sheet becoming ever vulnerable,low information transparency and insufficient external constraints,small and medium-sized banks are facing more prominent risks in corporate governance.It is advisable to accurately grasp the particularity of corporate governance of small and medium-sized banks in China,optimize internal governance with multiple modes,improve external governance such as supervision and market constraints,appropriately expand organizational boundaries,enhance capability building,build a social governance model that connects with local governments and regulators,and deepen reform of ownership structure and corporate governance in smalland medium-sized banks through multiple measures.
