摘　　要：近年来,美国对华投资安全审查不断升级,审查范围不断扩大,造成我国企业赴美投资并购频繁受阻,科技投资断崖式下跌,“中概股”大幅缩水。文章系统研究了美国对华投资安全审查的理论溯源、最近政策动向,以及发展趋势,并结合案例研究,分析了美国对华投资安全审查的重点与特征。研究认为,美国对华投资安全审查在微观层面对我国企业赴美投资并购造成较大影响,直接影响企业经济效益与投资布局;在宏观层面,对我国科技创新能力、经济安全,乃至地缘政治等方面造成深远影响。短期我方应深入跟踪研判主要国家投资审查制度,进一步完善我国外资并购国家安全审查制度,积极参与国际规则谈判,打破美国战略联盟封锁;长期应保持战略定力,推动更高水平的对外开放,努力实现高水平科技自立自强。In recent years,the US security review to Chinese investment has been continuously upgraded,and the scope of the review has been continuously expanded,resulting in frequent obstacles to Chinese enterprises5 investment and M&A in the US,a precipitous decline in scientific and technological investment,and a sharp decline in u Chinese concept stocksThis paper systematically studies the theoretical origins,recent policy trends,and development trends of the US security review to Chinese investment.Combined with case studies,it analyzes the focus and characteristics of the US security review to Chinese investment.Research think that the US security review to Chinese investment has a significant impact on Chinese enterprises5 investment and M&A in the US at the micro level,directly affecting the economic benefits and investment layout of enterprises.At the macro level,it has a profound impact on China's technological innovation capability,economic security,and even geopolitical aspects.In the short term,we should closely track and evaluate the investment review systems of major countries,further improve our national security review system for foreign investment and M&A,actively participate in international rule negotiations,and break the blockade of the US strategic alliance.In the long term,we should maintain strategic focus to promote a higher level of openness to the outside world,and strive to achieve high-level self-reliance and self-improvement in science and technology.
