重整计划批准制度完善下的普通债权人的权利保护

摘　　要：在债务人严重资不抵债进入破产重整程序的情况下,普通债权人的债权清偿取决于整个重整计划。重整计划批准制度作为保障普通债权人公平受偿权的重要制度之一,应发挥实质性作用。破产法修改背景下重构重整计划批准制度,应在破产重整程序启动环节建立重整企业筛选制度,准确识别重整对象,给予普通债权人基础性保护;准确定位重整计划中正常批准程序和强制批准程序的关系,调整和确立重整计划的批准规则,以给予普通债权人更具实质意义的保护。In the case that the debtor is seriously insolvent and the reorganization procedures begins,the creditors'rights depend on the reorganization plan.The approval system of reorganization plan should play a substantial role as one of the important systems to guarantee the creditor's rights to be compensated fairly.Under the background of the modification of Chinese bankruptcy law,the approval system of reorganization plan should be reconstructed,and the screening system of reorganization enterprises should be established at the starting point of bankruptcy reorganization procedure,so as to accurately identify reorganization objects and provide basic protections to ordinary creditors.The relationship between the normal approval procedures and the mandatory approval procedures in the reorganization plan shall be accurately defined,and the approval rules of the reorganization plan shall be adjusted and established to provide more substantial protection to the ordinary creditors.
