摘　　要：农村集体经济组织法人能否终止是当前推进农村集体经济组织立法过程中的重点问题,理论界对此存在肯定说与否定说两种截然对立的观点。农村集体经济组织立法应当充分注重其与《民法典》总则编法人终止规范之间的体系衔接问题。农民集体和农村集体经济组织是两个不同的民事主体,后者并非集体资产的当然所有权人,农村集体经济组织法人可以拥有独立的责任财产。因此,允许农村集体经济组织法人通过解散或者宣告破产等方式终止不会损害《宪法》确立的集体所有制,也不会导致农村社区部分公共服务的缺失。农村集体经济组织法人终止产生消灭其法人资格并退出市场之法律效果,农村集体经济组织仍可作为一个组织体继续存在并承担法律所赋予的相应职能。The question of whether a rural collective economic organization can be terminated is a key issue in the current process of promoting the legislation on rural collective economic organizations,and there are two opposing views in theoretical circles.The legislation on rural collective economic organizations should pay due attention to the systemic connection between the legislation on the termination of legal persons and the General Provisions of the Civil Code.The peasant collective and the rural collective economic organization are two different civil subjects,the latter is not the ex-officio owner of the collective assets,and the rural collective economic organization may have independent responsible property.Therefore,allowing the termination of a rural collective economic organization through dissolution or declaration of bankruptcy will not undermine the collective ownership system established by the Constitution,nor will it result in the loss of some public services in rural communities.The termination of a rural collective economic organization has the legal effect of extinguishing its legal personality and withdrawing it from the market,but the rural collective economic organization may continue to exist as an organizational body and carry out the corresponding functions assigned to it by law.
