摘　　要：近年来,预重整实践出现了“预演庭内重整的庭外重组”“提前启动的庭内重整”“衔接庭内重整的庭外重组”三种模式。其中“衔接庭内重整的庭外重组”最贴合预重整本意——不受司法/行政权力干预,但受预重整规则约束,既发挥庭外重组阶段的市场自治功能,又衔接庭内重整阶段的司法强制效力。本文对预重整规则加以设计,预重整之庭外重组阶段的启动主体是当事人,启动后不产生强制性法律效力,当事人可以聘请预重整辅导机构担任引导人,应实施信息披露、开展类似庭内重整的“同质性工作”和衔接庭内重整的“转化性工作”;预重整之庭内重整阶段则由法院启动审查,由法院指定管理人,对庭外重组完成的“同质性工作”和“转化性工作”进行衔接性审查并开展整合性工作。In recent years,there have been three models in the practice of packaged reorganization:"out-ofcourt restructuring of pre-court restructuring","pre-started in-court restructuring"and"out-of-court restructuring of jointed in-court restructuring",among which"jointed in-court restructuring of out-of-court restructuring"is the most suitable for the original intention of packaged reorganization.This is because the functional positioning of packaged reorganization lies in the compound advantages brought by the"cohesion"attribute.It not only has the function of market autonomy in the out-of-court restructuring stage,but also can promote effi ciency,trial and error correction,intensive justice and painless restructuring.It also connects with the judicial compulsory eff ect of the court reorganization stage,and can impose pre-standard and compulsory"closure"on the out-of-court reorganization.Accordingly,the operation mechanism of packaged reorganization is that its out-of-court restructuring stage is free from judicial/administrative power intervention,so as to play the function of market autonomy;However,it is subject to the pre-reorganization rule to connect the judicial enforcement eff ect.From above,this paper designs the pre-reorganization rules.The subject of the pre-reorganization out-of-court reorganization stage is the party,which has no mandatory legal eff ect after the startup.The party can hire legal counsel or fi nancial counsel as the pre-reorganization counseling institution and the debtor's legal counsel or fi nancial counsel as the guide,and information disclosure should be implemented to ensure the true expression of the intention."Homogeneous work"similar to court restructuring should be carried out,such as examining claims,investigating property status,recruiting restructuring investment,making restructuring plans,striving for restructuring support,etc.,"transformational work"should be carried out,such as checking or voting on related matters,extending the eff ect of verifi cation and approval or votin
