表决权拘束协议的救济方式——以组织规则对协议的外在影响为视角

摘　　要：表决权拘束协议是以约定表决权如何行使为内容的合同,其救济可适用《民法典》合同编有关无名合同的规定。但是,表决权拘束协议的救济方式还存在公司法上的特殊性:实际履行涉及股东会决议的稳定性,需要对股东会是否召开、协议缔约主体分类考察,综合衡量多方主体的利益。损害赔偿及违约金规则也涉及商事主体能力的特殊性,应当重视发挥履约担保功能的作用。Voting Agreement is a contract that stipulates how to exercise the voting right,and its relief can be applied to the provisions of anonymous contract in the contract part of“The Civil Code”.However,the remedy of the voting agreement still has its particularity in the company law:the actual implementation involves the stability of the resolution of the shareholders’meeting,which requires the classification of whether the shareholders’meeting is held and the parties to the agreement,and the comprehensive measurement of the interests of multiple parties.The rules of damages and liquidated damages also involve the particularity of the ability of commercial subjects,and we should pay attention to the role of performance guarantee.
