摘　　要：近年来,我国社会企业不断发展,但相关法律规制并不完善,难以满足社会具体案件和应用实践的需求。因此,加强对社会企业法律规制的研究迫在眉睫。公司型社会企业的数量在我国社会企业总数中占比较大,但其面临着法律地位不明确、内部治理不成熟和外部监管不完善等现实困境。通过分析英、美两国社会企业在认证制度、资产锁定制度以及公益履行诉讼制度等方面的立法经验,发现构建社会企业认证制度、完善社会企业治理机制以及健全社会企业监管体系等措施可以帮助我国公司型社会企业弥补相关制度缺陷,对推动我国公司型社会企业的持续健康发展具有重要的现实意义。In recent years,China's social enterprises have continued to develop,but the relevant laws and regulations are not perfect,which cannot meet the needs of specific cases and application practices in society.Therefore,it is urgent to strengthen research on the legal regulation of social enterprises.The number of corporate social enterprises accounts for a relatively large proportion of the total number of social enterprises in China,but they face practical difficulties such as unclear legal status,immature internal governance and imperfect external supervision.By analyzing the legislative experience of social enterprises in the United Kingdom and the United States in terms of certification system,asset locking system and public interest performance litigation system,it is found that measures such as building a social enterprise certification system,improving the governance mechanism of social enterprises and improving the supervision system of social enterprises can help China's corporate social enterprises make up for the shortcomings of relevant systems,which is of great practical significance for promoting the sustainable and healthy development of China's corporate social enterprises.
