摘　　要：证券虚假陈述侵权案件涉及主体众多,责任划分不清晰。本文以22年《最高人民法院关于审理证券市场虚假陈述侵权民事赔偿案件的若干规定》中侵权行为的构成要素为绪,结合案例,对相关规定进行梳理,厘清各主体间的法律责任及抗辩要点。The tort cases of securities false statement involve many subjects and the division of responsibility is not clear.Based on the elements of tort in the Provisions of the<Supreme People's Court on the Trial of Civil Compensation Cases for False Statements in the Securities Market>in 2022,this paper sorts out the relevant provisions in combination with the case,and clarifies the legal liability and defense points of each subject.
