股权二分模式下股权让与的挑战与应对

摘　　要：在传统概括转让原则受到冲击,实务中对新类型疑难案件尚未达成统一裁判意见的情况下,立足于我国有限责任公司股权对外转让的立法和司法实践,对股权的概念、性质、特征进行规范分析,以及从学理上对股权变动的身份、财产、效力予以阐释,论述股权二分模式具备现实可行性,即股权转让中有关身份法律关系交由公司法调整,有关财产法律关系交由债法调整。此外还要完善相关配套制度改革,如确定非典型性担保的合法地位、细化商事登记内容以及促进公司治理合规等等。Under the circumstances that the traditional principle of general transfer is under attack and the new types of difficult cases have not reached a unified judgment opinion in practice,based on the legislation and judicial practice of equity transfer of limited liability companies in our country,this paper makes a normative analysis of the concept,nature and characteristics of equity,and explains the identity,property and effectiveness of equity changes theoretically.This paper discusses the practical feasibility of the equity dichotomy model,that is,the legal relationship of identity in equity transfer is adjusted by the company law,and the legal relationship of property is adjusted by the debt law.In addition,it is necessary to improve the relevant supporting system reform,such as determining the legal status of atypical guarantees,refining the content of commercial registration and promoting corporate governance compliance.
