摘　　要：《公司法(修订草案二审稿)》正式引入了股东失权制度,在参考借鉴其他国家立法经验的基础上构建了我国股东失权制度的基本框架和核心要素,但在适用范围、适用程序、相关主体责任以及体系协调等方面都存在进一步完善的必要。股东失权制度的适用应当遵循股东同等对待原则、程序正当原则和禁止权利滥用原则;转让后的瑕疵股权、质押的股权应当适用股东失权制度,记载于公司章程或进行了登记的资本溢价同样适用股东失权制度,但股东出资义务加速到期时不适用股东失权制度。如股东失权违反法定条件或程序,股东可以提起股东资格确认之诉;失权制度被滥用时,相关股东可以提起失权无效之诉。The Company Law(Second Review of the Revised Draft)formally introduces the system of shareholder's loss of rights,and constructs the basic framework and core elements of the system of shareholder's loss of rights in China on the basis of referring to the legislative experience of other countries,but there is a need for further improvement in the scope of application,application procedures,relevant subject responsibilities and system coordination.The application of shareholder's loss of right system should follow the principle of treating shareholders equally,the principle of due process and the principle of prohibiting the abuse of rights;after the transfer of defective equity,pledged equity should be applied to the shareholder's loss of rights system,recorded in the articles of association or registered capital premium also applies to the shareholder's loss of rights system,but the shareholder's contribution obligation to accelerate the expiration of the shareholder does not apply to the system of shareholder's loss.If the shareholder's loss of rights violates the legal conditions or procedures,the shareholder can bring a lawsuit for the confirmation of shareholder's qualification;when the system of loss of rights is abused,the relevant shareholders can bring a lawsuit of invalidation of loss of rights.
