摘　　要：新《反垄断法》第19条初步构建了共同违法框架下垄断协议达成的组织帮助行为制度,澄清了轴辐结构中纵向限制的归责基础,破解了依行为经济效果认定轴辐结构违法性导致的逻辑悖论。在适用该条款时,要注意区分组织行为与帮助行为;明确达成行为的认定是认定组织帮助行为的前提;当达成行为与组织帮助行为竞合时,量罚应综合考虑组织帮助行为的独立性及过罚相当原则。此外,还应根据帮助行为的主客观方面,排除中性帮助行为的违法性。Article 19 of the revised AML preliminarily constructs a system of organizing-assisted of monopoly agreements behavior under the framework of joint illegal activities.It clarifies the basis of attribution of vertical restraints in the hub and spoke structure,and solves the logical paradox caused by determining the illegality of the hub and spoke structure according to the economic effect of the act.In applying this clause,care should be taken to distinguish between acts of organization and assistance;clarify that the determination of the act of reaching agreement is a prerequisite for the determination of organizing-assisted behavior;When reaching behavior competes with the organizing-assisted behavior,the amount of punishment should take into account the independence of the organizingassisted behavior and principle of suiting penalty.In addition,the illegality of neutral helping behavior should be excluded based on the subjective and objective aspects of the assisted behavior.
