采矿权转让合同行政规制的制度反思与修正理路

摘　　要：未经审批的采矿权转让合同的效力判断是司法界与理论界共同关注的重点与难点。司法实务通过司法裁判与司法解释并举的路线集中回应了报批义务相对方的保护问题,但对该问题的讨论不应仅局限于合同效力的判断本身,而需拓展至采矿权转让行政规制制度,协调采矿权转让制度中自治与管制的关系。从正当性基础与运行实效两个角度进行观察可以发现,当下采矿权转让行政规制的制度运行形成了从规制转向解制的趋势,该趋势可以成为进一步完善解制路径的基础。作为问题解决的过渡方案,目前可以适用《民法典》第215条,采用合同有效说,突出采矿权转让合同效力与行政审批的松绑,而从长远来看,则需完成审批让位与登记上位的制度改造。矿业权转让监管的机制优化是采矿权转让解制的重要体系效应。The validity of unapproved transfer contracts of mining rights is important but difficult to clarify.It is concerned about by both the judicial and theoretical circles.Judicial practice responds to the issue of the protection of contractors with good faith through judicial judgments and interpretations.Yet the discussion on this issue should not be limited to the judgment of the validity of the contract itself,and the issue should be solved by the system of administrative regulation for the transfer of mining rights,while fully understanding the relationship between autonomy and control when mining rights are transferred.Observed from the perspectives of legitimacy and operational effectiveness,the current operation of the administrative regulation on the transfer of mining rights shows the trend from regulation to deregulation as the basis to further improve the way of the deregulation.As a transitional solutions plan,Article 215 of the Civil Code can be applied,and the theory on the validity of a contract is adopted to highlight the effectiveness of the transfer contract of mining right and the loosening of tight administrative control.In the long run,it is necessary to complete the reform of the approval system and registration.This is important for the unbundling of mining rights.
