公示逻辑下动产抵押权在收益上的延伸——基于法律继受的体系性视角

摘　　要：为贯彻物权之“公示逻辑”,《中华人民共和国民法典》第406条第1款规定“抵押财产转让的,抵押权不受影响”,即承认抵押权的追及效力。然而,由于动产的特点与“正常经营买受人”规则等原因,追及效力技术难以应对动产抵押的现实。为此,第406条第2款又设价金代位技术作为抵押物转让制度的补充,但该规则可能因价金混合而不能实现。为防止价金混合,可参考“毁损灭失之物上代位”理论,将抵押权在价金上的延续转变为对价金请求权之“法定债权质权”,使公示对抗的效果延伸至抵押物转让的价款上。唯“正常经营买受人”规则本就是民法“公示逻辑”之例外,对此应追根溯源,探索美国《统一商法典》中的相关机制,并结合我国物权体系的实际情况建立收益的识别与公示制度。In order to implement the"publicity logic"of real right,paragraph 1 of Article 406 of the Chinese Civil Code provides"the transfer of the mortgaged property shall not affect the mortgage"which admits the the tracing effect of mortgage.However,due to the characteristics of movable property and the rule of"buyer in the ordinary course of business",the tracing effect is difficult to deal with the reality of chattel mortgage.For this reason,paragraph 2 of article 406 set the subrogation of the transfer price mechanism as a supplement of the mortgage transfer system,but this rule is difficult to achieve because of the commingling of cash.To prevent the cash from commingling,it is allowed to refer to the"subrogation caused by destruction or damage"rule and its theory,change the"continuation of the mortgage"theory to the"statutory lien"theory,so that the publicity logic can extends to the price of the mortgaged property transfer.Only the rule of"buyer in the ordinary course of business"as the exception of the"publicity logic"should be traced back to the source of the Uniform Commercial Code to explore the related mechanism of the US law and combined with the actual situation of Chinese property right system to establish the proceeds identification and publicity system.
