摘　　要：公司法中广受关注的股东会与董事会分权问题可以转化为股东投票权范围问题,进而结合功能主义视角探讨其功能和界限。功能主义分析框架认为,股东投票权可分为决策、意见表达和董事责任减免三个功能类型,且受制于股东投票能力和第三人保护,它们又各有其边界。我国当前相关规则因缺乏功能意识而有定位不清晰甚至还存在功能紊乱等问题,因此有必要在修法时考虑配置股东投票的功能及其实现可能性。The widely concerned problem of the power division between shareholders'meeting and board of directors can be transformed into the issues of the scope of shareholders'voting rights,so this paper analyses its functions and limits from the perspective of functionalism.Under the framework of functionalism,shareholders'voting rights can be divided into three functional types:decision-making,opinion-expression and directors'responsibilities relief,but the rights are subject to the voting of shareholders and the third person's protection,and they have their own boundaries.Given the unclear orientation and even functional disorder without considering function in the current relevant rules in our country,it is necessary to grant shareholders the rights to vote when amending the law.
