摘　　要：股东优先购买权的性质决定权利的行使方式与效力。将优先购买权定性为形成权,一经行使即可在转让股东与其他股东之间形成有效合同,易实现维护公司人合性的目的。赋予转让股东反悔权,不影响股东优先购买权的定性。承认股权转让合同有效,赋予股东优先购买权物权性效力,可以保护其他股东与公司利益。The nature of the shareholder s preemptive right determines the exercise methods and effectiveness of the right.Qualifying the preemptive right as a right of formation,once exercised,can form a valid contract between the transferring shareholder and other shareholders,making it easy to achieve the goal of maintaining the company s human integrity.Granting the transferring shareholder the right of estoppel does not affect the qualitative nature of the shareholder s preemptive right.Recognizing the validity of equity transfer contracts and granting shareholders the preemptive right with property rights can protect the interests of other shareholders and the company.
