摘　　要：随着我国“双碳”目标的大力推进,光伏行业的并购热潮持续升温,但在并购过程中伴随一系列经营风险影响企业并购工作的开展,由于风险处理不恰当导致并购失败的案例不在少数。为有效提高项目并购管理水平,防范投资风险,以建立完善的并购管理体系为根本,从战略目标、并购原则与标准、调查分析与风险点预判、合同签订、风险应对、评价管理等方面进行论述,研究可能存在的风险点,拟定处置建议,对于提升项目并购管理水平和并购成功率具有一定的借鉴意义。With China's"carbon peaking and carbon neutrality"goals vigorously promoted,the M&A boom in photovoltaic industry continues to heat up.However,there are not a few cases in which a series of business risks affect the development of enterprise M&A,and M&A fails due to improper risk handling.In order to effectively improve the management level of project M&A and prevent investment risks,based on the establishment of a perfect M&A management system,this paper discusses the strategic objectives,M&A principles and standards,investigation and analysis,risk point prediction,contract conclusion,risk response,evaluation management and other aspects,studies possible risk points,and formulates disposal suggestions,which has certain significance for improving the management level of project M&A and the success rate of M&A.
