摘　　要：并购是企业实现快速成长、做大做强的重要战略之一,在全球经济一体化、资源优化配置的今天得到广泛应用。但是,企业并购中的高成本、高风险也一直是企业并购失败的重要原因之一。其中,被并购企业和并购主体企业由于使用了不同类型的IT系统来管理各自业务的运行,企业在并购过程中如何有效地整合信息技术,实现IT的有机整合,并确保风险可控,成为决定企业并购成功与否的关键因素。文章首先对IT整合在企业并购过程中的战略地位和作用进行了概述,然后进一步分析在企业并购过程中IT整合的流程和存在的风险,最后为企业并购过程中的IT整合管控提出相应对策,旨在帮助企业充分了解并购过程中IT整合的复杂性和重要性,为企业有效实施IT整合与风险管控、确保企业并购成功提供有效参考。Mergers and acquisitions,as an effective way for enterprises to achieve rapid growth,have been widely applied in today's global economic integration and optimized resource allocation.However,the high cost and high risk in enterprise mergers and acquisitions have always been one of the important reasons for the failure of enterprise mergers and acquisitions.How to effectively integrate information technology and achieve IT integration and risk management during mergers and acquisitions has become a practical problem faced by many enterprises.This article first provides a brief overview of the strategic position of IT integration in the process of enterprise mergers and acquisitions,discusses the role of IT integration in enterprise mergers and acquisitions,and then analyzes the risk issues of IT integration in the process of enterprise mergers and acquisitions.Finally,corresponding preventive measures are proposed to improve IT integration control in the process of enterprise mergers and acquisitions,aiming to help enterprises fully understand the importance and necessity of IT integration in the process of mergers and acquisitions,clarify the challenges faced by IT integration and risk management during the merger and acquisition process,providing reference for enterprises to effectively implement IT integration and risk management.
