论表见代理“有理由相信”之认定——以《民法典总则编司法解释》第二十八条的适用为中心

摘　　要：表见代理制度作为我国民法在维护社会动的安全和个人静的安全的平衡上的重要保障,对于提高市场交易安全和效率有重要意义。学界对于表见代理的构成要件有较大争议,而法律的规定没有完全解决相关概念的争议和疑点。在司法实践中需要进一步明确表见代理制度的构成要件,遵循权利表象结合相对人“善意无过失”的审查思路,在证明相对人合理信赖时结合多个要素进行考量,合理判断权利表象和表见代理之间的证明关系。As an important guarantee for the balance between social security and personal security in Chinese Civil Law,the apparent agency system is of great significance for improving the security and efficiency of market transactions.There is a great controversy in the academic circle about the constitutive elements of apparent agency,and the provisions of the law do not completely solve the disputes and doubts of related concepts.In judicial practice,it is necessary to further clarify the constituent elements of the agency by apparent agency system,follow the review idea of combining the appearance of rights with the relative person's"good intention subjectively without any slip,"and combine multiple elements when proving the relative person's reasonable trust to reasonably judge the proof relationship between the appearance of rights and apparent agency.
